AGM Tonight April 29 7pm

The Annual General Meeting for the GYC Membership is tonight.

1. MOTION TO BE VOTED ON AT THE AGM:
Members will be asked to vote to approve the Proposed Articles of Amendment and Proposed GYC General Operating Bylaws No2.
Members will not be asked to vote to approve The Policies and Procedures. These have already received approval by the Board of Directors on April 10th and are not voted on by the Members.
Any Member can propose changes to the Policies and Procedures at any time by working with their respective Committees. The document will be reviewed annually by the Board in February and therefore is an ongoing work. It represents a good first step to meet the needs of the Club and the Members.
2. BACKGROUND OF THE ACTIVE PROCESS OVER THE PAST 2.5 YRS:
A – The Letters Patent are the original paperwork registered with the provincial government back in 1952.
The Letters Patent are required to be revised slightly. These revisions are given the legal name of The Articles of Amendment.
B – The Bylaws required a great deal of changes.
Both changes, mentioned here, were required under the Ontario Not-for-Profit Corporations Act. After the extensive work of the Bylaws Committee, legal consultation was sought in finalizing these documents.
The Membership received a notice to access both the Proposed Articles and the Bylaws on April 11th with the Notice of the AGM. The motion to approve these two documents will be brought forth at the meeting.
3. FINAL STEPS COMPLETED BY THE BYLAWS COMMITTEE: The Bylaws Committee sought the input of the Membership, and three information sessions were held over the course of nine months. They received feedback regarding the following five points:
A. Dissolution
B. Spending
C. Borrowing
D. Legal Review
E. Policies & Procedures

A. DISSOLUTION
One of the items that must be included in the Articles is identifying where any residual liquid assets would go, in the event of the corporation dissolving. Legally we have the choice of A. to another Non-for -Profit corporation with similar goals as the GYC or B. to the current Members.
The choice was determined to be B., after the Members were polled on a survey.
This decision is written into the Proposed Articles of Amendment.

B. SPENDING
The draft presented at the information session in September did not include a restriction of a 10% overage of the Annual budget.
The Membership gave their feedback to retain this in the Bylaws.
This was then included in the proposed Bylaw.

C. BORROWING
The draft presented in September did not include restrictions on borrowing.
Based on feedback from the Members, this was then included in the proposed Bylaw.

D. LEGAL REVIEW
The Membership requested an outside legal review of the Bylaws to be done.
The Bylaws committee made those arrangements and the Board of Directors have approved the resulting Proposed Bylaws and Proposed Articles of Amendment for presentation to the Membership.

E. POLICIES & PROCEDURES
The Membership requested that the Policies and Procedures be made available for review prior to voting on the Articles and the Bylaws. This document has been approved by the Board of Directors and has been made available in electronic and paper form for the Membership.

4. VOTING BY PROXY (Bylaw 5.6)
Any Member, who is unable to attend meetings of the Club, may authorize by proxy another Member of the Club to vote in the Member’s stead. The form for proxy will be mailed with the notice of such meeting. The proxy may be mailed directly to the Secretary, or the appointee may hand in the proxy to the Secretary prior to the meeting, to be recorded.
Note as above: Simply put, if you are unable to attend the meeting, please consider signing and dating the proxy and have it brought to the meeting by the Member you are entrusting it to, or arrange to pass to the Secretary, Micheal Forcier, ahead of time.  The new Act requires it to be signed and dated.
A copy of the Proxy is available at this link:

John French Obituary

From Nick Bird:

I was just told that John French passed away on [last] Saturday. He was 96.

John was a member of GYC in the 1970’s when I joined, maybe before and I guess he gave up boating sometime around 2000 +/-. I don’t know if he retained associate membership, but I think he might have as I know he would take frequent trips to the club after selling his boat. [John was indeed an Associate Member of the GYC.]

He was the person who suggested I seek Club membership as I was buying my Shark sailboat. He said go on down there and find the Commodore – Earl Taylor, so I did.

John worked at Edwards as a draftsman and I learned a lot from him about materials, designs, good workmanship and so on.

I last spoke with him by phone in September when I was in O.S. for the Commodore’s at home.

An obituary for John can be found at https://www.tannahill.com/obituary/John-French

Paulette Peirol Obituary

Paulette Lauren Peirol, of Owen Sound, passed away peacefully and surrounded by her family at Chapman House on Monday, February 5th, 2024, at the age of 60. Paulette was born in Toronto on October 15th, 1963.

Loving and devoted mother to Luke (Nicole), Lia, and Erin. Beloved partner of Steve Furness of Owen Sound. Dear sister of Nicholas Peirol. Loving aunt of Jack, Lauren, and Will.

Predeceased by her parents, Fred and Lita Peirol.

Paulette lived an exceptional life. Adopted by her parents on January 27th, 1965, she grew up in Toronto and pursued her passion for dance and later writing, becoming a journalist and Editor of York University’s student newspaper, Excalibur, in her early twenties. While working at the Kingston Whig Standard, Paulette forged lifelong friendships and won a national newspaper award for investigative journalism with Michael Den Tandt, who later became her husband and father of their three children. Michael and Paulette’s newsroom debates were legendary, as was their six-month trek across Southeast Asia, for which they were completely unprepared. They survived, got married in Kingston in 1995, and had Luke, Lia and Erin while living in Toronto and working at the Globe and Mail. After living briefly in Chelsea, Quebec, and working as an editor at the Ottawa Citizen Paulette moved to Owen Sound, Ontario. After a stint as a freelance writer and editor for the CBC, Paulette held the position of Tourism Marketing Coordinator for the city of Owen Sound for more than ten years, before she was appointed Economic Development Coordinator in Walkerton. She loved her community and had recently joined the Grey Bruce Trail Association, the Gardening Club, and Community Foundation Grey Bruce’s Community Development Committee.

In recent years, Paulette has been the beloved partner of Steve Furness. She loved Steve’s optimism, devotion, energy and endless affection. She will be deeply missed by Steve and his entire family.

Paulette adored nature, music, cooking and good food. On sunny winter days she would be out hiking the Inglis Falls trail with her kids, and on warm summer nights she could be found working in her garden. A highlight of her year was visiting the cottage in Muskoka, where she would see her brother Nick (Melissa), niece Lauren, nephews Jack and Will, uncles Leonard and Frank, and many other loved ones. Paulette had rediscovered her childhood love of sailing and enjoyed spending time out on Georgian Bay with Steve on the Scallywag. Many new friends were made at the GYC sailing club. There was no real debate on who was the captain and true sailor. Steve and Paulette also had some amazing camping trips to Killarny and Algonquin over the last few years. Her spirit will be with Steve forever.

Most of all, Paulette loved her friends and family. She had the rare gift of being a great conversationalist but also a great listener, and she was always there for others, showing them compassion and understanding. She will be forever missed by her three children. As they write this, they can imagine her editor’s voice telling them they’d overused a certain word or included too many run-on sentences. They love her to the moon and back. Paulette’s family would like to say a heartfelt thank you to Dr. Hodgson, Dr. Barfoot and Dr. Besik, as well as the wonderful nurses, staff and volunteers at Chapman House.

A memorial service to celebrate Paulette’s life will be held at Brian E. Wood Funeral Home, 250 14th St. W., Owen Sound, 519-376-7492, on Saturday, February 17th, 2024 at 2:00 pm, with visitation one hour prior, followed by reception at the funeral home.

In lieu of flowers, memorial donations to Chapman House are appreciated. Online condolences can be sent to Paulette’s family by visiting her memorial at www.woodfuneralhome.
